Public Offer for NaKogda Services

This document is a public offer by the Service Provider to enter into an agreement for access to the NaKogda service on the terms below.

1. General provisions

This Offer is addressed to legally capable individuals, sole proprietors, and legal entities. A customer is a person who accepts the Offer in their own name or on behalf of the person they represent.

The Service Provider is a sole proprietor applying the Russian Professional Income Tax regime (NPD). The Service is the NaKogda software service owned by the Service Provider and available through nakogda.ru, cabinet.nakogda.ru, and time.nakogda.ru.

The current version of the Offer is permanently available at https://nakogda.ru/en/offer/. The Customer reviews it before making a payment or activating a free period.

2. Scope of the agreement

The Service Provider gives the Customer online access to NaKogda features within the selected plan and paid period. The Service helps manage schedules and bookings, publish a widget and an organization page, receive chat enquiries, and use related service features.

For continuous access, this is a subscription agreement: the Customer pays for the right to request the features available under the plan throughout the paid period.

The exact features, quantitative limits, and available integrations are determined by the plan description on the website and in the dashboard when the order is placed. Limits stated per organization apply separately to each organization unless the plan interface expressly states otherwise.

The agreement does not transfer any exclusive or non-exclusive rights to the software. The Service Provider is not a party to agreements between the Customer and their clients and is not responsible for services supplied by the Customer to those clients.

3. Account and authority

To use the Service, the Customer creates an account, verifies a telephone number or email address with a one-time code or signs in through an external provider, and supplies accurate information. The Customer is responsible for protecting access to the verified contact and linked external account, and for actions taken through the account until the Service Provider is notified of a compromise.

A person acting for an organization or sole proprietor confirms that they have the required authority. The organization owner in the Service manages the plan, participant access, and organization settings.

Giving access to a third party does not release the Customer from their obligations. If unauthorized access is suspected, the Service Provider may temporarily restrict a session until the contact is verified again.

4. Free period

A new account may receive one free 14-calendar-day period on the Start plan. It is activated in the dashboard without linking a bank card and does not automatically become a paid subscription.

Paid features are suspended after the free period until a plan is selected and paid for. The Service Provider may refuse another free period in the event of repeat registration, misuse, or the use of related accounts.

5. Plans and prices

Plan names, prices, billing periods, features, and limits are shown on the pricing page and in the dashboard before payment. The total order amount is shown before the Customer proceeds to payment and is fixed for the period being purchased.

Prices are stated in Russian rubles. VAT is not charged because the Service Provider applies the NPD tax regime.

When the Customer voluntarily upgrades during a paid period, the Customer pays the full price of one billing period of the new plan. Unused paid time under the current plan is converted into time under the new plan in proportion to the ratio between the current and new plan prices and added to the new billing period. The exact conversion, payment amount, and new access end date are shown before payment.

A downgrade takes effect after the current paid period ends. The selected plan and effective date are shown in the dashboard; the Customer may cancel the scheduled change before the future period is successfully paid for. With automatic renewal enabled, attempts to charge the full price of the selected plan begin three days before expiry. Early payment does not shorten the current period: the lower plan starts on the stated date. A prepaid future change cannot be cancelled using the scheduled-change cancellation button; refund requests are handled under section 12. Other plan changes are unavailable until it starts. If the charge fails, no free paid period is created.

A change made by the Service Provider to a plan or its price does not affect a period already paid for. A new price applies only to the next payment; where automatic renewal is enabled, it is communicated in the dashboard or through the verified contact before the charge so the Customer can cancel renewal in advance.

6. Acceptance and activation

The Offer is accepted when the Customer performs the action specified by the interface: activating the free period or confirming agreement with the Offer and paying for the selected plan. Acceptance creates an agreement without a paper copy being signed.

Paid access is activated after the payment provider confirms a successful payment. The service is not delivered as a separate file or on physical media: access to the paid features is provided through the Customer’s account at cabinet.nakogda.ru. The start and end of the paid period, active plan, and status are shown in the dashboard.

If a payment is not completed or is cancelled, the paid period does not begin. If activation is technically delayed, the Service Provider activates access after receiving reliable confirmation of payment or refunds the amount.

7. Payment and automatic renewal

Payment is made electronically through YooKassa or another payment provider identified in the interface. Payment methods and possible restrictions are determined by that provider. The Service Provider does not receive or store full bank card details.

Recurring payments are enabled only after the Customer separately and expressly agrees to automatic renewal. The amount, frequency, and cancellation method are displayed before confirmation. The payment provider stores the payment token and sends the Service Provider only a technical identifier.

The first automatic renewal attempt is made three days before the paid period ends. If automatic renewal is enabled later, the first attempt follows confirmation of the terms shown in the dashboard. A successful payment extends an active plan by one calendar month from its end date; if the plan has already expired, the month starts on the current date of successful renewal.

The Customer may withdraw consent to automatic renewal and use of previously supplied payment details at any time in the billing section of the dashboard or by emailing support@nakogda.ru. Once that withdrawal is received, those details are no longer used for recurring charges; paid access remains available until the period ends.

After a temporary provider decline, charges are retried no more than once per day before expiry, on the expiry date, and during the next three calendar days in Moscow time, with no more than seven attempts per renewal cycle. Each failed attempt is followed by a notice of the next attempt or the end of retries. Retries stop earlier if the saved payment method is prohibited. If a payment result is unknown, no new operation is created until it is resolved. A failed attempt does not extend access, which may be suspended after the current period ends.

8. Service delivery

The service is supplied continuously during the paid period by maintaining the Customer’s ability to use the features available under the plan. The amount of service supplied does not depend on how often the Customer actually signs in.

Dashboard data and the Service Provider’s technical logs evidence the availability of access. A separate acceptance certificate is not issued unless requested by the Customer or required by law.

The Service Provider may carry out planned or emergency maintenance, update the Service, and temporarily restrict features to protect data and infrastructure. Notice of lengthy planned maintenance is given in advance where possible.

9. Rights and obligations

  • The Service Provider supplies access under the selected plan, remedies confirmed faults within a reasonable time, and responds through the contact email.
  • The Customer pays on time, uses the Service lawfully, supplies accurate information, and does not attempt to disrupt its security or operation.
  • The Customer determines the lawful basis for handling client data, the content of their services, schedules, booking cancellation rules, and the authority of invited staff.
  • Service SMS and Telegram messages may be used for codes, confirmations, reminders, and other requested notifications. Marketing messages without a separate lawful recipient consent are prohibited.
  • Without the Service Provider’s prior written agreement, the Customer must not use the Service to process special categories of personal data concerning health, ethnicity, political opinions, religious or philosophical beliefs, or criminal convictions, or biometric personal data used to establish identity.
  • The Customer must not resell access or use the Service to distribute malware, spam, unlawful material, or to circumvent plan limits.

10. Personal data

The Service Provider processes Customer data to enter into and perform the agreement, process payments, provide support, maintain security, and comply with legal obligations. Detailed rules are available at https://nakogda.ru/en/privacy/.

For personal data whose processing purposes and scope are determined by the Customer, the Customer is the personal data controller and instructs the Service Provider to process that data solely to perform this agreement and operate the selected Service features. This instruction covers data of clients, employees, engaged professionals, and other persons entered by the Customer or received through the widget, public page, and chat configured by the Customer, including names, contact details, photographs, positions and roles, schedules, booking details, comments, and uploaded files.

Under this instruction, the Service Provider may automatically collect, record, organize, accumulate, store, update, retrieve, use, provide access to the Customer’s authorized users, restrict, delete, and destroy the data, and disseminate data selected by the Customer through the Customer’s public page and widget. Processing purposes are to provide the Service features, manage schedules and bookings, display information selected by the Customer on the Customer’s public page and widget, operate chat and notifications, provide support, and maintain security.

The Service Provider must preserve confidentiality, implement the organizational and technical safeguards required by law, provide information demonstrating compliance with processing requirements upon the Customer’s request, and notify the Customer without undue delay of any identified unlawful or accidental access to entrusted data. After the instruction ends, data is deleted or destroyed under the Personal Data Processing Policy unless the law or another lawful basis requires continued storage.

To perform the instruction, the Service Provider may engage infrastructure, communications, and other necessary service providers identified in the Personal Data Processing Policy, provided that applicable confidentiality and security requirements are imposed on them. Cross-border transfers are carried out only where a lawful basis exists and all mandatory transfer requirements have been met.

Before transferring data to the Service Provider, the Customer must determine a lawful basis for processing, provide data subjects with the required information, obtain all consents required by law, including separate consent to disseminate personal data where required, and grant access only to authorized persons. This includes photographs of employees, clients, and other identifiable persons displayed on a public page or in a widget; any required consent for the image of a minor must be given by the minor’s legal representative. The Service does not use photographs or voice data to establish identity and does not perform biometric identification. The Customer must confirm the relevant rights and consents upon the Service Provider’s reasonable request.

Only information necessary for payment, refunds, and tax obligations is disclosed to the payment provider and NPD receipt operator.

11. NPD receipt

After payment, the Service Provider generates an NPD receipt in the Russian Federal Tax Service’s My Tax system directly or through an authorized electronic platform operator or bank and ensures delivery within the statutory period.

A link to the NPD receipt or its QR code is made available in the dashboard and may also be sent to the verified contact. A payment provider’s transaction confirmation does not replace the NPD receipt.

A legal entity or sole proprietor must provide its correct name and taxpayer identification number before payment so the receipt can be issued. Incorrect information is corrected upon request within the capabilities of the tax system.

12. Withdrawal and refunds

The Customer may withdraw from the agreement at any time in the billing section of the dashboard or by emailing support@nakogda.ru. The request must include the account’s verified contact and information sufficient to identify the payment.

For continuous digital access, the refundable amount is proportionate to the unused paid period, less the Service Provider’s documented costs actually incurred, unless mandatory law provides a more favorable outcome. A duplicate payment, erroneous charge, or inability to activate access is refunded in full for the affected amount.

The Service Provider reviews a valid request and initiates the refund within 10 calendar days after receipt. Funds are returned through the original payment method; the posting time after initiation depends on the bank and payment provider.

For a full or partial refund, the Service Provider cancels or corrects the related NPD receipt as required and provides the correction information to the Customer.

13. Suspension and termination of access

After a paid period ends, paid features, the organization page, widget, or chat may be temporarily unavailable until the plan is renewed. Termination of access does not create a new payment without separate consent to automatic renewal.

The Service Provider may suspend access for a material breach of the Offer, a security threat, unlawful use, an attempt to circumvent limits, or a request from an authorized public body. Unless the risk requires immediate action, the Customer is given a reasonable period to remedy the breach.

Data is not deleted immediately merely because a plan expires. Retention periods, deletion grounds, and data subject rights are governed by the Personal Data Processing Policy and applicable law.

14. Liability and events beyond control

The parties are liable for breach under the laws of the Russian Federation. Nothing in the Offer restricts mandatory consumer rights or liability that cannot lawfully be excluded.

The Customer is responsible for the legality of materials the Customer uploads or publishes, the accuracy of assurances concerning rights in those materials, and obtaining all required consents from depicted persons. If the Customer’s breach results in a substantiated third-party claim or government request, the Customer must assist in resolving it and compensate the Service Provider for documented losses to the extent caused by the Customer’s established breach.

The Service Provider is not responsible for failures of the Customer’s device, browser, communications provider, payment system, website, or other infrastructure outside its control, but will reasonably assist in identifying the cause.

A party is excused from non-performance caused by extraordinary and unavoidable circumstances for their duration if it notifies the other party through an available channel without undue delay.

15. Intellectual property

The Service’s software code, interfaces, design, text, and marks are protected by law. The Customer receives only a limited ability to use the Service’s features during the access period.

The Customer retains rights in photographs, images, logos, text, documents, and other materials the Customer uploads. By uploading material, the Customer represents that the Customer owns the relevant rights or has obtained every required permission from the rights holder, author, and any other person whose rights may be affected, and that use of the material does not violate the law, intellectual property rights, image rights, privacy, honor, or dignity of any third party.

For as long as the material is stored in the Service, the Customer grants the Service Provider a royalty-free, non-exclusive right to use it solely to perform the agreement: to record and store it, create technical and backup copies, reproduce it, resize, crop, compress, convert its format, and display it in the dashboard, on the organization’s public page, and in the widget according to the Customer’s settings. This right applies wherever the Service is accessible through the Internet, does not permit independent commercial use by the Service Provider, and ends after the material is deleted, subject to the technical period required to clear backup copies and any mandatory retention periods.

The Customer independently chooses which materials to make publicly available and must promptly hide or delete material when the legal basis for its use ends. The Service Provider may temporarily hide or delete material upon receiving a substantiated complaint from a rights holder or depicted person, a request from an authorized public body, or where the material clearly violates the law or this Offer; where possible, the Customer will be notified of the restriction.

16. Changes and disputes

The Service Provider may update the Offer. A new version does not worsen the terms of a period already paid for and applies to the next payment or a new free period after publication. Material changes affecting an active subscription are communicated in the dashboard or through the verified contact.

Customer messages are accepted at support@nakogda.ru. The parties seek to settle disputes by written claim; the Service Provider responds within the statutory period or, if none applies, within 10 business days.

The agreement is governed by the laws of the Russian Federation. Disputes are heard under statutory jurisdiction rules, without restricting a consumer’s right to choose a competent court or contact public authorities.
